Orders of Goods

Only written orders will be accepted; orders placed by phone or verbally will not be considered valid. By submitting an order, the customer accepts all the conditions listed below. The order is binding for the customer, but it becomes binding for Quadro S.r.l. s.u. only after explicit acceptance. Orders cannot be cancelled without written agreement from Quadro S.r.l. s.u., which reserves the right to apply charges and fees resulting from such cancellations.

Prices

Prices are expressed in euros, exclusive of VAT, and are subject to change without notice. Unless otherwise agreed, prices are intended for goods packed and delivered ex works Quadro S.r.l. s.u. Goods are sold at the price in effect at the time of order, with a maximum grace period of 60 days from the entry into force of a subsequent price list.

Delivery

Delivery times start from the order confirmation date and cannot, under any circumstances, result in indemnity or compensation from Quadro S.r.l. s.u. Packaging is handled by Quadro S.r.l. s.u. staff, but the company accepts no responsibility for damage caused by third parties. Delivery terms indicated in the order are purely indicative and not binding for Quadro S.r.l. s.u., which will not be liable for any delays. In particular, it is not liable for delayed or failed delivery, wholly or in part, due to force majeure or events beyond its control, such as company or transport strikes, power outages, delays or failure to receive raw materials, etc. The company reserves the right to fulfil the order through partial shipments.

Complaints and Liability

All Quadro S.r.l. products are covered under warranty as outlined in the specific “General Warranty Conditions” document. Returned goods will only be accepted if shipped carriage paid and previously authorised by Quadro S.r.l. s.u. Only items recognised as defective by Quadro S.r.l. s.u. will be replaced free of charge, with no further compensation for damage, costs, or repairs. Quadro S.r.l. s.u. accepts no responsibility for defects or damage due to tampering with its products or improper installation. Damage caused by improper installation or misuse is not covered under any warranty. Buyers are prohibited from performing any operations that alter the original characteristics of Quadro S.r.l. s.u. products.

Upon receipt, the customer must check the integrity and conformity of the goods. Any complaints about delays or damage during transport must be addressed to the courier at the time of delivery. In any case, complaints must be sent to Quadro S.r.l. in writing within 8 days of receiving the goods, accompanied by a detailed description of the issue, photographic documentation, warranty, and a copy of the purchase invoice. Payment

Payments must be made directly to Quadro S.r.l. s.u. under the agreed terms. If these terms are exceeded, Quadro S.r.l. s.u. will charge late payment interest without prior notice, accruing from the day after the due date. These interests will be calculated according to the surcharge provided by Legislative Decree No. 231/2002. Failure to comply with agreed payment terms, confirmed in writing in the order confirmations, may result—at the company’s discretion—in the suspension of pending orders until payment is received and the suspension of future deliveries, even if previously accepted. Payments for products already delivered are not subject to the completion of the full order. No payment may be deferred in the event of disputes, unless otherwise agreed. For invoices under €500.00 (VAT included), a single bank receipt (RI.BA) will be issued with a due date shorter than usual terms.

Retention of Title

Until Quadro S.r.l. s.u. has received full payment for the products, said products shall remain the exclusive property of Quadro S.r.l. s.u.

Customer Data

The customer is responsible for providing correct fiscal data in accordance with applicable laws (Company Name, Registered Address, VAT number). Data will be processed in compliance with EU Regulation 679/2016 (GDPR) exclusively for legal purposes. Any other use must be expressly authorised by the customer.

Returns

Returns of non-defective goods are subject to the acceptance of Quadro S.r.l. s.u., which will apply a 10% fee for inspection if the returned goods are intact, or 20% if there are signs of opening or tampering with the warranty seal. Any restoration work will be charged separately. Returned goods must be shipped at the customer’s expense; damaged goods will not be credited.

Shipping

Shipping terms will follow the previously agreed commercial arrangements. It is the customer’s responsibility to check the goods upon delivery and file any claims for damage directly with the carrier, even if chosen by Quadro S.r.l. s.u., within 8 days of receipt, via registered mail with return receipt.

Jurisdiction and Law

Supplies are governed by Italian law. For any dispute, the exclusive jurisdiction is that of the Court of Novara.
